Client Online Account

By requesting an online account from our Site and requesting HHMC to accept its application to be considered to become a client, licensee, purchaser, applicant and any of its agents, directors, employees, managers, members, officers, proprietors and shareholders (if closely held) hereby agrees, if its application is granted, to be bound by and adhere to the following terms and conditions, and hereby acknowledges this by continuing to submit its application.

In consideration of the subject License, and permission to use the copyrighted materials, manuals, protocols, policies and procedures, Licensee, and all its agents, directors, employees, managers, members, officers, proprietors and shareholders, (if closely held) (the “Licensee Affiliates”), agree to practice the Healthy Habits Medical Weight Loss System (the “HHMWL System”) only according to the License, and only during the term of the License, and in no other manner.

Upon termination of the License, or independently beyond the License, either before, during or after the term of the License, Licensee and Licensee’s Affiliates all agree that no one is permitted to practice the HHMWL System, nor copy, nor distribute any HHMWL System manuals or other written material, and any such unpermitted practice or copy or distribution has been, is or will be a breach of the License by Licensee as well as by any particular offending Licensee Affiliate, and has been, is or will be specifically also a breach of this non-compete provision.

Licensee and Licensee’s Affiliates all agree that the subject HHMWL System and materials contain, embody and comprise valuable trade secrets, technique and know how, and any actual or imminent or threatened breach of this non-compete provision may be enjoined by a US Federal or Idaho State Court in Boise, Idaho with attorneys’ fees and costs awarded to Licensor, Healthy Habits Management Company, Inc.

Furthermore, Licensee and Licensee’s Affiliates all agree to be individually and personally liable to HHMC for any breach of this non-compete provision, and hereby subject themselves to the personal jurisdiction of said US Federal or Idaho State Court for resolution of any claim by HHMC about any alleged breach by them of the License Agreement or this Non-Compete Provision.

Submissions

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Site (“Submissions”) provided by you to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you. Shipping Policy

HHMC ships all orders via UPS, or USPS. All items available on our online store will be shipped. However, we only ship to physical addresses within the United States (No APO addresses, etc.). Orders are processed and shipped within 2 business days of order placement. We are closed most major holidays, including but not limited to, New Year’s Day, Memorial Day, Independence Day, Labor Day, Thanksgiving, Christmas Eve, and Christmas Day.

Sales Tax for Wholesale Orders

Products sold on healthyhabitsmc.com are provided to wholesale clients with a valid resale license. The client certifies they hold a valid seller permit/resale license and agrees that all products purchased from healthyhabitsmc.com be resold and payment collected pursuant to the sales and use tax laws of the state in which they reside. Client is responsible for payment of all applicable state and local taxes.

Dispute Resolution

Binding Arbitration

If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) and, where appropriate, the AAA’s Supplementary Procedures for Consumer Related Disputes (“AAA Consumer Rules”), both of which are available at the AAA website: www.adr.org. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. Both Parties shall equally split all arbitration fees and expenses. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in Boise, Idaho. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.

If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in Boise, Idaho, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) are excluded from these Terms and Conditions.

In no event shall any Dispute brought by either Party related in any way to the Site be commenced more than one (1) years after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to Arbitration

The Parties agree that the following Disputes are not subject to the above provisions concerning binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.

Corrections

There may be information on the Site that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information on the Site at any time, without prior notice.
